Real estate assignment contract - What it is and how it is done

Have you ever wondered how you can transfer a real estate contract to someone else? The assignment contract is the legal solution that allows you to transfer all or part of your contractual position to another person.

Well, assignment generally represents the transmission by a person or company (called the assignor) to another person or company (called the assignee) of an asset or a right, in exchange for a benefit. This process is particularly important for those who have entered into a leasing agreement or are currently paying installments for a mortgage placed on a property or land.

In real estate , assignment of a contract is frequently encountered in situations where a financial institution transfers the debts of a borrower who does not pay his debts on time to a third party. This procedure is also particularly efficient for quick transfers in real estate transactions.

A concrete example of the application of assignment is found in the Prima Casa (Noua Casa) program, where there is a restriction on the sale of the property on the free market for the first five years from the start of the contract. In this case, if you cannot repay the loan in full, a useful solution is to take over the Noua Casa loan by a new beneficiary, by assigning the contract.

In this article, we will explain exactly what assignment means, what the current legal provisions are according to the Civil Code and Law no. 243/2024, and we will show you the practical steps for drawing up a real estate assignment contract.

What is assignment and how does it work in real estate?

what is assignment

Definition of assignment in simple terms

Essentially, assignment is the process by which a person or company (called the assignor) transfers an asset or right to another person or company (called the assignee), in exchange for a benefit. In other words, it is the legal mechanism by which the creditor transmits to a third party the rights he holds against his debtor, receiving in return a sum of money or other benefits.

The Civil Code regulates several types of assignment, from the assignment of usufruct to that of budgetary debts, from the assignment of the contract to that of receivables.

What does assignment mean in the context of a real estate contract?

In real estate, contract assignment allows the transfer of rights and obligations under a sale-purchase contract. For example, if you signed a contract to purchase land, but in the meantime you have found a better opportunity, through contract assignment, you can transfer the right and obligation to purchase the land to another person, thus avoiding penalties for canceling the contract.

According to art. 1315 paragraph 1 of the Civil Code, "A party may substitute a third party in the relations arising from a contract only if the services have not yet been fully performed, and the other party consents to this". Therefore, the assignment of the contract implies the full transfer of your contractual position to someone else, the assignee taking over not only the rights, but also the obligations.

The difference between assignment of receivables and assignment of contract

Assignment of receivables and assignment of contracts are two different legal figures. The first major difference lies in the object of the transfer: assignment of receivables aims at the transfer of a right, while assignment of contracts transfers a complete contractual position, a set of rights and obligations.

Also, the assignment of a contract is not just the sum of an assignment of a claim and an assumption of a debt, but consists of the substitution of a third party in a complete contractual position. The assignment of a contract appears as an autonomous operation and can only concern agreements in which the parties' services have not been fully performed at the date of the assignment.

By assigning the contract, the assignor simultaneously performs an assignment of receivables and an assignment of obligations. The assignment of receivables, however, can occur in any obligational relationship, whether it arises from a contract, a unilateral legal act or a legal fact.

The legal framework of the assignment contract

legal framework assignment

The main regulation of the assignment contract is found in the New Civil Code, which includes specific provisions on the transmission of contractual rights and obligations.

Relevant articles from the Civil Code

The main legal framework for the assignment of a contract is found in Articles 1315-1320 of the New Civil Code. For the assignment of a claim, the provisions are detailed in Articles 1566-1592, which establish the conditions of validity, the effects of the assignment and the rights of the parties involved. In addition, Article 2358 of the Civil Code regulates the assignment of a mortgage, specifying that "the mortgage right or its rank may be assigned separately from the claim it guarantees only when the amount for which the mortgage is established is determined in the constitutive act".

Recent legislative changes (Law 243/2024)

An important legislative step was taken by introducing Law no. 243/2024 on consumer protection regarding the total cost of credit and assignment of receivables. This law requires that, at the time of the transfer of the receivable, the consumer be informed of the amount of the amount owed, receiving the supporting documents. The law also prohibits entities that recover receivables from collecting from the debtor an amount that exceeds the amount of the receivable established at the time of the conclusion of the assignment contract.

Partial assignment vs. full assignment

According to Article 1571 of the Civil Code, a claim for a sum of money may be assigned in part. However, for other types of claims, partial assignment is possible only if the obligation is divisible and does not become substantially more onerous for the debtor. In the case of a partial assignment, the assignor and the assignee are paid in proportion to the value of each claim. Therefore, a full assignment transfers all rights and obligations, while a partial assignment transfers only part of them.

How to transfer a real estate contract

how is the assignment made?

The real estate transfer process requires compliance with specific steps to ensure the validity of the transfer. We will explore together the essential steps for creating an effective transfer contract.

Identifying the right transferee

First, we need to find an assignee who meets all the conditions stipulated in the original contract. He must demonstrate the financial capacity necessary to complete the transaction and accept all the obligations arising from the original contract. Basically, the assignee becomes the substitute of the assignor, taking over the same contractual responsibilities.

Drafting the assignment contract

The document must clearly specify the rights and obligations transferred, identify the parties involved, and establish the conditions under which the transfer is made. The contract will also include information about the identity of the parties, the identification of the assigned contract, the amount and terms of the assignment, and the rights and obligations transferred.

Obtaining consent and notarization

The agreement of both parties is essential for the transfer to be completed - without this consent, the transfer would be illegal and invalid. Authentication at the notary involves identifying the parties based on their identity documents, reading the document, expressing consent and signing the document in front of the notary.

Notification of the parties involved

After signing the agreement, all interested parties must be notified: the original seller, the real estate agency, the financial institutions. The notification is made in writing, as soon as possible after signing the agreement, in a way that allows verification of receipt.

Costs and fees involved

The process involves various expenses: notary fees, ANCPI fees for registration in the Land Registry and possibly taxes. The method of calculation and payment of the transfer tax must also be provided.

Practical Applications: New Home and Mortgages

new home applications

The assignment contract has special applicability in the context of real estate loans, where the transfer of obligations requires specific procedures.

Assignment in the New House program

The New House Program (formerly Prima Casa) imposes a clear restriction: the purchased property cannot be sold on the open market in the first 5 years after purchase. However, there is the possibility of transfer by assignment when inability to pay or other personal needs arise.

In this sense, the legislation allows the takeover of the contract by an eligible person under the Program. Practically, the transferee takes the place of the original holder, taking over the credit under the same conditions and returning, according to the agreement, the amounts already paid.

Taking over a mortgage loan through assignment

The assignment of the credit agreement represents the transfer of the rights and obligations of a debtor (assignor) to another person (assignee). There are two main variants: assignment to a natural or legal person and assignment to a financial institution. This solution becomes advantageous in situations of financial difficulties, sale of the mortgaged property, or debt restructuring.

Eligibility conditions for the transferee

To take over a loan, the transferee must meet strict requirements:

  • Romanian citizenship or EU residency
  • Minimum age 18 years and maximum 75 years at the end of the loan period (for mortgage loans)
  • Proven net income, verifiable through ANAF
  • Good payment behavior in relations with credit institutions

The role of the bank and the Ministry of Finance

The bank gives its consent both on its own behalf and on behalf of the Romanian state to take over the financing. For the assignment under the Noua Casa program, the process involves approvals from the bank, FNGCIMM and the Ministry of Finance. Also, for the rental of a property purchased through the program, the consent of the bank and the Ministry of Public Finance is required.

Conclusion

real estate transfer

The real estate transfer contract is, without a doubt, an essential legal instrument for the transfer of contractual rights and obligations in the real estate field. As we have seen, this legal mechanism offers considerable flexibility in various situations, from financial difficulties to unforeseen investment opportunities.

The assignment process, although seemingly complex, becomes accessible when we follow the right steps: identifying a suitable assignee, carefully drafting the contract, obtaining the consent of all parties involved and notarizing it. Thus, the transfer of the contractual position is carried out in conditions of legal security for all participants.

The applicability of the assignment is particularly relevant for the New Home program and mortgage loans, where sales restrictions can be overcome through this legal mechanism. However, we must bear in mind that the assignee must meet specific eligibility criteria and obtain the consent of the financial institutions involved.

The legislative framework, based on the provisions of the Civil Code and supplemented by Law no. 243/2024, ensures the protection of all parties involved in the assignment process. Therefore, assignment is not only a practical solution, but also one that is properly regulated from a legal point of view.

In the end, real estate assignment remains a valuable option for those who wish to transfer contractual rights and obligations without incurring penalties or giving up previously acquired benefits. Knowledge of this legal instrument and its correct application can make the difference between significant financial losses and advantageous solutions for all parties involved.
